Nashville, Tennessee, Organization: OLA (Legal Affairs) 20 Job Summary: Vanderbilt Health – Executive Search Team is conducting a national search for a Division Counsel, Hospital Operations. The Division Counsel, Hospital Operations supports the VUMC Managing Counsel in managing, directing, and executing all phases of work performed by the VUMC Office of Legal Affairs. Provides representation, advice and counsel regarding legal matters affecting VUMC, its subsidiaries and its controlled affiliates, as well as on the implementation of and adherence to VUMC’s policies and procedures. The Vanderbilt University Medical Center Office of Legal Affairs is looking for an exceptional individual with a minimum of 5 years of experience counseling complex healthcare organizations on all aspects of physician, hospital, and healthcare system operations to join its team. This individual will report to the General Counsel and Secretary of Vanderbilt University Medical Center. . Role Accountabilities: 5+ years of advising healthcare providers on an array of healthcare operations matters, including patient care issues. Experience in general healthcare regulatory and operational issues, including experience: Advising on adult, pediatric, and behavioral health patient related matters such as treatment, refusal, and consent to treatment issues, including psychiatric and patient issues. Advising on consent to treat and other issues in healthcare delivery, including the Tennessee Health Care Decisions Act, surrogate decision making, guardianships, conservatorships. Advising on end-of-life issues, ethical and legal conflicts between patients, families, and healthcare providers.

Advising on child and adult abuse and neglect issues. Drafting and reviewing contracts in the healthcare setting Strong experience in advising clients on HIPAA, privacy and security matters, including: Knowledge of state, federal and other agencies’ requirements for medical records, and the ability to understand and navigate electronic medical records. Experience in identifying and managing protected health information breach, including investigation of the breach, patient notification and breach reporting. Experience responding to and advising on requests for protected health information from third parties, including government agencies, law enforcement, payors, providers, attorneys, as well as experience with third party requests for ex parte communication and testimony by physicians and others. Experience with data privacy in a research setting a plus. Experience analyzing and advising on regulatory requirements and guidance and translating that information into institutional policy and/or actionable guidance. Experience in policy review and drafting, as well as educating health care providers on policy compliance. Significant experience working in-house or as outside counsel working closely with healthcare clients. Demonstrates: Ability to collaborate with stakeholders to educate, advise and evaluate regulatory risks. Willingness to attend and be an active participant in and advisor to multiple hospital and medical center committees and Comfortable working with individuals at all levels of the organization.

Experience in dealing with medical staff matters and bylaws, as well as analyzing TN and federal peer review statutes and peer review protection. Experience advising on anti-kickback and fraud and abuse regulatory requirements. Excellent academic credentials and related experience. State bar admission and Tennessee bar admission within 1 year. A proactive nature, problem solver and “can-do” attitude. Ability to work independently and be pragmatic and results focused. A good sense of humor, desire to tackle new challenges and be part of an incredible team. Additional experience working with electronic health record incentive programs, employee benefit plan experience, understanding of and collaboration with risk management, regulatory compliance or supply chain contracting desired, but not required. Preferred Qualifications JD degree from an ABA accredited law school. Must have at least 5-7 years of directly applicable experience. Employment contingent upon State of Tennessee licensure or registration and receipt of In-House Counsel Practice Certificate. The successful candidate must also apply for and become licensed in the State of Tennessee within 12 months of employment or, if earlier, the date required under applicable rules of the Tennessee Supreme Court.
