The Fred Hutch Office of the General Counsel is seeking an attorney with (1) significant transactional experience in drafting, reviewing, revising, and negotiating contracts; (2) strong drafting and negotiating skills across a range of complex commercial contracts; (3) the ability to analyze and identify core legal issues; and (4) strong business acumen. This role is focused on supporting Fred Hutch’s Procurement and Business Development departments, as well as providing contract support across the enterprise. The Senior Associate General Counsel will report to and be overseen by the Deputy General Counsel for Business and Research (“Deputy General Counsel”) but will also work in close collaboration with other members of the legal and professional staff to provide high quality and timely legal services to Fred Hutch in a wide range of legal matters. The Senior Associate General Counsel may assume responsibility for the management of members of the legal and professional staff at the request of the Deputy General Counsel and with approval of the Vice President and General Counsel. Responsibilities The Senior Associate General Counsel’s primary duties and responsibilities will include providing highly skilled legal advice and counsel on a broad range of topics including academic scientific research and collaboration; intellectual property; technology commercialization; data privacy and information security; procurement and related transactions. Management and oversight of other members of the legal and professional staff may be required depending on the evolving objectives and needs of the Office of the General Counsel. Specifically, the Senior Associate General Counsel shall: Prepare, review, revise and/or interpret a variety of legal documents, policies, templates ad contracts relating to sponsored research, research services, clinical trials, procurement, technology transfer and commercialization, corporate transactions, affiliations, non-disclosure agreements and other matters. Perform legal analysis and make recommendations on legal, contractual, risk, and compliance issues relating to contract matters and work collaboratively with cross-functional teams, including Procurement and Business Development to ensure contracts accurately reflect business requirements.
Develop and recommend improvements for standard contractual documents, templates, and clause libraries. Work closely with the Deputy General Counsel and other members of the legal team to provide counsel to Fred Hutch including its governing board, executive leadership team and scientific staff on a wide range of legal issues faced by a comprehensive cancer center in an ever evolving and challenging legal and regulatory environment. In accordance with current institutional policies and needs, which are subject to change, remote work may be permitted provided that the Senior Associate General Counsel will be required to work at the Seattle campus of Fred Hutch upon twenty-four hours’ notice. Qualifications MINIMUM QUALIFICATIONS: A Juris Doctor or LLM degree from an ABA-accredited law school; A minimum of ten (10) years of experience as a practicing attorney with significant business/transactional experience in matters relating to academic scientific research, healthcare or related sectors; Membership in good standing of the Washington State Bar or active State Bar license in good standing with ability to gain admittance to the Washington State Bar within one (1) year of hire; Exceptional written and oral business-communication skills; A high level of integrity; Excellent analytical ability and demonstrated ability to identify and resolve potential legal issues. Self-motivated with a demonstrated ability to take initiative and work independently; Ability to perform duties with a high level of professionalism, accountability, discretion, judgment, accuracy, diplomacy, and tact; Ability to communicate and work effectively with colleagues, administrators, scientific staff and third-party research collaborators and sponsors; Demonstrated ability to work effectively within and cultivate an inclusive, diverse and welcoming environment, and to treat all people equitably in a culturally competent manner. PREFERRED QUALIFICATIONS: Experience working with and managing members of an in-house legal team. Fred Hutchinson Cancer Center has a mandatory COVID-19 vaccine requirement, with exceptions only for approved medical or religious accommodations. The annual base salary range for this position is from $206,980.
00 to $364,000. 00, and pay offered will be based on experience and qualifications. This position may be eligible for relocation assistance.
