Oakbrook Terrace, Illinois, Overview GENERAL SUMMARY The Senior Assistant General Counsel is responsible for general legal support to the General Counsel and to The Joint Commission and its affiliates. Duties include interaction with business clients at all levels of management as assigned by the General Counsel. Responsibilities PRINCIPAL DUTIES AND RESPONSIBILITIES Handles a variety of complex legal matters with a goal to provide high quality and timely advice and counsel to internal clients on a broad range of topics to include but not limited to: federal and state laws related to heath care, employment, contract negotiation, lobbying, information technology, marketing, international law, intellectual property, antitrust, governance, research misconduct, and tax exemption. As requested by the General Counsel, manages outside counsel independently, keeping the General Counsel informed of developments and seeking GC’s counsel when necessary. Strategically analyzes the needs of the internal business unit against how to best protect the Enterprise and applies people skills and legal knowledge to manage and assist meeting those needs. Responds promptly to staff regarding legal questions. Acts with independence and discretion to minimize costs/risks and maximize benefits/returns in providing legal advice on business transactions. Advises staff and/or negotiates contracts and other transactions to minimize risk and maximize rights for The Joint Commission. Conducts complex legal research and identifies proactive solutions that eliminate or mitigate risk. Leads the development of corporate policies, procedures, and programs.

Provides advice or training to less experienced attorneys and coaches and mentors more junior employees in the Enterprise, as well as occasional interns from outside the Enterprise. #LI-REMOTE Qualifications Bachelor’s degree and Juris Doctor from an accredited law. Current professional license required at time of hire which must be maintained. No history of adverse actions relative to current or previous professional license. Preference given to candidates with information technology, international law and transactions. 5+ years of relevant experience in information technology. A seasoned, experienced professional with a full understanding of area of specialization; resolves a wide range of issues in creative ways and is a team player. Works on problems of complex and diverse scope where analysis of data requires evaluation of identifiable factors. Demonstrates good judgment in selecting methods and techniques for obtaining solutions. Networks with senior internal and external personnel in own area of expertise.

Normally receives little instruction on day-to-day work, general instructions on new assignments. Contract drafting and negotiating experience, including providing advice in connection with government contracts and grants, engagement agreements, master services agreements, subcontracts, independent contractor agreements, requests for proposals, confidentiality and nondisclosure agreements and teaming agreements. Experience with e-commerce and technology-related agreements, including intellectual property licensing. Leverages knowledge with business associate agreements. Experience in responding to third party subpoenas seeking confidential information, asserting privilege where appropriate. Proficiency in Microsoft Word and PowerPoint, and experience in Excel. Excellent oral and written communication skills, including experience giving formal presentations to Board level audiences.
